Nebraska
Corporate Name Endings
- The name must contain
the word "Corporation," "Company," "Incorporated," "Limited," or the
abbreviation "Corp.," "Inc.," "Co.," or "Ltd." The name shall be distinguishable
from the name of a corporation incorporated in or authorized to transact
business in the state, a corporate name reserved or registered, the
fictitious name of a foreign corporation, the corporate name of a not-for-profit
corporation incorporated in or authorized to transact business in this
state, a trade name registered in the state, the trade name of domestic
or foreign corporations entitled to do business in the state, or a name
that is reserved or registered. However, the similar name may be registered
if corporation affected consents in writing, or by court decree.
Corporation Requirements
- Director Information
- Minimum Number - One or more.
- Residence Requirements - No provision.
- Age Requirements - None.
- Directors are
not required to be listed in the articles of incorporation.
- Officer Information
- Officers are
not required to be listed in the articles of incorporation.
- Stock Information
- An increase
in shares may cause an increase in initial filing fees.
- Corporation Records
- The articles
of incorporation, bylaws, minutes of shareholders' and directors'
meetings, names and addresses of current directors and officers,
and the most recent annual report must be kept at the principal
office of the corporation.
Taxes and Fees
- Annual Statements
- An annual
report must be filed with the Secretary of State between January
1st and April 15th of each year on the prescribed form. The fee
is based on property value with a minimum payment of $26.
- Income Tax Rate
- Tax rates are
5.58% of the first $50,000 of taxable income and 7.81% of taxable
income over $50,000.
- S Corporation
- S Corporation
status is recognized by the State of Nebraska. A separate state
election from the federal election is not required.
- License Requirements
- Nebraska requires
most businesses to obtain a license and pay a fee if operating in
the state. Please check with the state to make sure your business
is complying with the license requirements for your particular profession.
