Corporate Name Endings
- The name must contain
the word "Corporation," "Incorporation," "Company," "Limited," or an
abbreviation thereof. The name must not be the same as, or confusingly
similar to, a name of any domestic or foreign corporation, or a name
reserved by or registered by another corporation, unless written permission
of other corporation is obtained. The name must not imply a purpose
other than that contained in the charter.
Corporation Requirements
- Director Information
- Minimum Number - One or more.
- Residence Requirements - No provision.
- Age Requirements - None.
- Directors are
required to be listed in the articles of incorporation.
- Officer Information
- Officers are
not required to be listed in the articles of incorporation.
- Stock Information
- An increase
in shares may cause an increase in initial filing fees.
- Corporate Records
- The stock transfer
ledger must be kept in the principal corporate office.
Taxes and Fees
- Annual Statements
- A Biennial
Profit Corporation Report must be filed every two years on or before
the 15th day of the 3rd month following the end of a corporation's
fiscal year. The filing fee is $25. The first report is due within
30 days of the initial incorporation date of the corporation.
- Income Tax Rate
- The tax rates
are 4.8% of net income up to $500,000; 6.4% of net income between
$500,000 and $1,000,000, and 7.6% of net income over $1,000,000.
- Franchise Tax
- A franchise
tax payment is due each year. The rate is $50 each tax year.
- S Corporation
- S Corporation
status is recognized by the State of New Mexico. A separate state
election from the federal election is not required.
- License Requirements
- New Mexico
requires most businesses to obtain a license and pay a fee if operating
in the state. Please check with the state to make sure your business
is complying with the license requirements for your particular profession.
