How does the reseller program work?

With this program, Business Pro Net is your "silent partner in providing your clients with corporation, limited liability company (LLC), and nonprofit formation services. Business Pro Net will not have direct contact with your clients, as all communications and documents are directed to you.

Simply gather the necessary information from your clients, then submit orders to Business Pro Net on behalf of your clients. You are responsible for providing the necessary incorporation-related support to your clients, as well as answering any questions your clients may have regarding their orders.

Business Pro Net acts as the incorporator for your clients' businesses. When we receive your order, the proper formation documents will be prepared and filed with the state. When we receive the approved documents from the state, we will ship them directly to you for you to provide to your clients. Additionally, we will scan them into our Online Corporate Status Center, providing you with 24/7 online access to your client's important formation documents. You may also use the Online Corporate Status Center to track the status of your orders as they move through our preparation and filing process.

How long does the incorporation process take?

The state processing times vary greatly. For a standard formation order, you should typically expect the process to take 4-6 weeks. For an additional fee, most states allow for expedited filing service. With expedited processing, the standard turn-around time is typically 7-10 business days. Please note, events such as government-observed holidays, busy seasons (often occurring at the beginning of the calendar year), labor strikes (with express shipping companies, for example), and world events may have an effect on processing times.

What service choices does Business Pro Net offer?

Business Pro Net has three primary offerings for business formation: the Basic Formation Service, the Complete Formation Service, and the International Package. (The International Package is specifically tailored to non-US businesses seeking to incorporate in the United States.) A summary of these offerings is included at the end of this FAQ list.

Whatis a registered agent?

Most states require corporations and LLCs to have a registered agent in the state of formation. The registered agent can be an individual or state-formed company physically located in the state of formation (no P.O. Boxes are accepted). The registered agent is responsible for accepting important documents on behalf of the corporation or LLC, including (but not limited to) notice of litigation (service of process), state franchise tax forms, and state annual report forms.

Business Pro Net offers registered agent service in all 50 states. Six months of registered agent service is included for free with all new formation orders. Thereafter, this annual service currently has a list price of $125 per year. If you select Business Pro Net as the registered agent for your clients, renewal invoices will be provided to you, and you will be responsible for collecting the fee from your clients and paying Business Pro Net. You may also pay online in the Online Corporate Status Center.

If you have clients who are already incorporated and wish to change their registered agent, Business Pro Net offers registered agent services as a stand-alone service. The cost for this service is $125 per year, which is due upon ordering.

Will my clients know I used Business Pro Net for their formation documents?

With Business Pro Net acting as the incorporator, for most states the name and signature of a member of our team will be listed as such on your clients' formation documents. If you choose to have Business Pro Net act as the registered agent for your clients, our company name and address in the state of formation will be listed on their formation documents.

If you order corporate kits or LLC kits from Business Pro Net (which are included in our complete formation service, and can be added to our basic formation service), we have the ability to remove our logo and contact information from the inside cover of these kits. Please inform us that you wish to have this removed for your clients. Our Corporate Forms Disk and LLC Forms Disk have Business Pro Net identity both on the disk and in the associated handbook. This identity cannot be removed.

How do I pay Business Pro Net?

Resellers intending to order less than three formations per month are required to pay with a credit card at the time of formation. Pending a credit approval for your company, resellers submitting more than three formation orders per month may be invoiced for their orders. Invoice payments are due within 30 days of the invoice date. If payment is delayed, Business Pro Net reserves the right to deny service until the outstanding invoice is paid in full. Consistent late payments will result in termination of the reseller agreement.
